Clause ("we", "us", "our", or "Service") is an informational document analysis service that uses artificial intelligence to help New Zealand property buyers understand what their contracts say.
What Clause Is
Clause provides:
- AI-generated analysis of property-related documents (contracts, purchase agreements, conditions of sale, etc.)
- A "first-pass review" to help you identify key terms and potential areas of concern
- Informational insights about what your document contains
What Clause Is NOT
Clause is not:
- Legal advice or legal services
- A law firm or conveyancing service
- A replacement for a solicitor, conveyancer, or licensed legal professional
- A provider of professional legal opinions
- An automated conveyancer
The Service Never Tells You What To Do. Clause analysis is educational and informational only. We identify and explain terms in your document; we do not advise you on whether to sign, renegotiate, or reject any agreement.
2. Eligibility and Use
Who Can Use Clause
You must be:
- At least 18 years old
- A natural person (individuals only; no businesses, trusts, or other entities)
- Physically located in New Zealand or legally entitled to use this service
- Using the Service in compliance with New Zealand law
Restrictions on Use
You must not:
- Use the Service to analyse documents unrelated to New Zealand property transactions
- Share the Service with others or attempt to resell access

- Use the Service in breach of any third-party intellectual property rights
3. Account Terms
Creating an Account
You do not need to create an account to use Clause. The Service supports guest checkout: you can submit documents and make payments using only your email address.
If you provide an email address, you consent to:
- Receiving confirmation emails about your reviews
- Receiving important service updates and security notices
- Marketing communications (opt-in by choice; off by default)
Your Responsibilities
You are responsible for:
- Keeping your email address current and accurate
- Maintaining the confidentiality of any access credentials or share links
- Providing accurate information when submitting documents
- Confirming you have the right to submit a document for analysis
4. Pricing and Payment
Pricing (GST Inclusive)
All prices are in New Zealand Dollars (NZD) and include 15% Goods and Services Tax (GST).

Payment Method
- Stripe Checkout Sessions — We accept all major debit and credit cards
- Guest Checkout Allowed — No account required; email address only

- Currency: NZD (all prices final; no currency conversion)
Credits and 3-Pack Purchases
- 3-Pack credits are personal, non-transferable, and non-refundable
- Credits never expire — use them when you need them
- One credit = one full review
- Unused credits remain valid if your account or the Service is terminated
Billing and Invoices
- Payment is processed immediately via Stripe
- A confirmation email and receipt will be sent to the email address provided
- No invoices are issued for consumer purchases (receipts are your tax record)
5. Refunds and Remedies
Automatic Refunds (No Questions Asked)
You are entitled to a full automatic refund if:
- The AI could not process the document — The document was unreadable, corrupted, or in an unsupported format, and analysis could not be completed
- The confidence threshold was not met — Our AI confidence score was below 75%, indicating low reliability. This triggers an automatic refund without manual review
- You request a refund within 14 days and report a material error — If you can demonstrate that the analysis contained a significant factual error or omission that materially misrepresents the document, you may request a refund within 14 days of purchase
Material Error Refunds
A "material error" is an error that:
- Significantly misrepresents a key clause or term in the document
- Could reasonably mislead you about the content of the agreement
- Is not cured by reading the source document carefully
We will not refund for:
- User error (e.g., uploading the wrong document)
- Differences of interpretation or judgement
- Areas the report marked as unclear or recommended for professional review
- Loss or damage you experienced by relying on the analysis
How to Request a Refund
Email support@clause.co.nz with:
- Your email address or order reference
- Reason for the refund request
- Any supporting details (e.g., screenshot, description of the error)
Refunds are processed within 5 working days and returned to the original payment method.
3-Pack Refunds
- Individual unused credits from a 3-Pack are not refundable
- If you purchased a 3-Pack due to a technical error (e.g., charged twice), contact us immediately
- If the Service becomes unavailable for more than 30 consecutive days, you may request a prorated refund for unused credits
6. Intellectual Property
Our IP
All content, software, designs, text, graphics, and analysis methods used in the Service are owned by Clause or our licensors and protected by New Zealand copyright law.
You may not:
- Copy, modify, or distribute any part of the Service or its content
- Attempt to extract or reverse-engineer the AI models or analysis methods
- Reproduce analysis reports for resale or public distribution
- Claim ownership of, or create derivative works based on, our Service
Your Report
- Analysis reports generated for you are for your personal, non-commercial use only
- You may print, save, or share your report with a lawyer, conveyancer, or family members
- You may not publish, sell, or redistribute your report without our written permission
- A 30-day share link is provided; after 30 days, the link expires and cannot be recovered
User Content
Documents you submit become our responsibility during processing. We own the right to use anonymised, de-identified data for improving our Service (e.g., training examples), but we do not use your document content, personal information, or report text for any purpose beyond providing your analysis.

Jurisdiction

17. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. We will attempt to replace any invalid provision with one that is valid and achieves the original intent.
No Waiver
Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment
